Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the AI video generation platform, software, applications, and website (collectively, the "Service") provided by Pexo ("Company," "we," "us," or "our"). By using the Service, you agree to be bound by these Terms.

2. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to use the Service. By using the Service, you represent and warrant that you meet this requirement.

3. Description of Service

Our Service is an AI-powered platform that enables users to create and generate video, image, audio, and other media content, and to interact with AI agents and related tools (collectively, the "AI Video Agent" or the "Service"). The features and limitations are described on our website and may change without notice.

4. Payments, Subscriptions, and Credits

4.1 Subscription Management

(1) Certain features of the Service require a paid subscription or consumption of credits. Subscriptions are billed in advance for the billing cycle you select (e.g., monthly or annually) and automatically renew at the end of each billing cycle unless you or we cancel the renewal.

(2) You may cancel your subscription renewal at any time by using the account settings or billing page, or by emailing us at support@pexo.ai. Upon cancellation, no further charges will be made from the next billing cycle, and the subscription will end at the close of that cycle.

(3) Fees already paid for the current subscription period are non-refundable. Cancellation does not affect your rights for the current billing cycle; you may continue to use paid features until the end of that period.

(4) We reserve the right to change subscription prices and billing methods at any time. Any change will take effect from the first billing cycle that starts after the current subscription period. We will give you reasonable advance notice and you may cancel before the change takes effect.

4.2 Plan Changes (Upgrade and Downgrade)

(1) Upgrades. You may upgrade your subscription plan at any time. Upgrades take effect immediately. You will be charged the price difference between your new plan and your current plan upon upgrade, and will receive the corresponding additional credits for the current billing cycle. Your current billing cycle is not reset, and both your existing credits and the additional credits granted upon upgrade will expire at the end of the current billing cycle in accordance with the Credit Rules. From the next billing cycle, you will be billed at the new plan's price.

(2) Downgrades. You may downgrade your subscription plan at any time. Downgrades take effect at the start of your next billing cycle. Your current plan and its credit allowance remain in effect until the end of the current billing cycle. No price difference will be refunded and no credits will be adjusted for the current billing cycle.

(3) Scheduled changes. A subscription may have at most one pending plan change (such as a scheduled downgrade or cancellation) at any time. Submitting a new pending change will replace any previous one. You may cancel a pending change before it takes effect, and such cancellation does not give rise to any charge, refund, or credit adjustment.

(4) No refund for plan changes. Except where required by applicable law, fees already paid for the current billing period, upgrade price differences, and unused credits are non-refundable in connection with any plan change.

4.3 Credits

(1) The Service uses a credit-based billing model. Credits may be included with a subscription, purchased separately, or granted through promotions or trials, and are consumed in accordance with the consumption order and other rules set out in our Credit Rules. Certain credit packs (such as add-on credits) may only be available to users with an active paid subscription, as described in the Credit Rules or on the product page.

(2) All credit purchases are final and non-refundable, and credits are not redeemable for cash or other value, except where required by law. Credits may only be used by the account that received them and may not be transferred, resold, or assigned.

(3) Credit validity, rollover, and expiration are governed by our separate Credit Rules. When your account or subscription is terminated for any reason, unused credits may be forfeited without compensation, except where required by law.

4.4 Refund Policy

(1) Except where required by applicable law, all payments for subscriptions, credits, or other paid features are final and non-refundable. If the laws of your jurisdiction grant you a statutory right of withdrawal or refund, the applicable regions, exercise methods, and procedures are governed by those laws. You agree that once access to a paid service or credits has been granted, we have no obligation to refund the current billing period or consumed credits.

(2) Add-on packs, credit packs, and other one-time purchases are deemed delivered upon purchase. They are non-refundable except where required by law, and are subject only to the non-refund and refusal conditions in this Refund Policy.

(3) We will not refund, and may refuse or limit refund requests, where: (a) your account has been restricted, suspended, or terminated for breach of terms, abuse, or fraud; (b) you have already received a refund for the same or similar product or service (except where required by law); (c) you purchased via a promotion, coupon, or discounted price; (d) the request relates to used credits, consumed services, or one-time purchases (e.g., add-on or credit packs); (e) the request relates to fees or price differences paid in connection with a plan upgrade or other plan change; or (f) we reasonably consider that a refund would facilitate abuse or excessive refund activity.

(4) If we approve a refund or are required by law to issue one, we will process it to your original payment method within a reasonable time (typically 1–15 business days), subject to the payment provider. For refund inquiries, contact support@pexo.ai.

5. User Accounts

You are responsible for your account and its security. Provide accurate information and notify us of any unauthorized use.

6. User Content & License

a. Your Content: You own the text, images, videos, and prompts you upload ("User Content"). You are solely responsible for it.

b. License Grant: To operate the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, host, and process your User Content solely to provide, improve, and secure the Service for you. This includes technical processing for AI model operation.

c. AI Outputs: The videos generated by the AI based on your inputs ("Outputs") are considered your User Content. You acknowledge that similar Outputs may be generated for other users.

d. Confidentiality: We implement security measures, but cannot guarantee absolute security for your non-public User Content.

7. Copyright Policy

We respect the intellectual property rights of others. If you believe that any content on our Service infringes your copyright, please notify us specifically at support@pexo.ai with the subject line "Copyright Infringement".

8. Acceptable Use

You agree NOT to use the Service to:

a. Violate any law or infringe others' rights.

b. Create, upload, or share harmful, abusive, harassing, defamatory, obscene, sexually explicit, or infringing content.

c. Generate content for fraudulent purposes or to impersonate others (e.g., malicious deepfakes).

d. Reverse engineer, scrape, or overload our systems.

e. Use the Service to build a competing product.

9. Intellectual Property

We own all rights, title, and interest in the Service, including our software, AI models, and branding. You receive only a limited right to use the Service under these Terms.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause and without notice, including for violation of these Terms.

When you cancel your subscription or we terminate your account or subscription, your right to use paid features ends at the end of the then-current billing period. You remain responsible for all fees incurred up to the termination or period end (as applicable). We have no obligation to refund fees for the current period or consumed credits. The treatment of unused credits after cancellation or termination—including whether they remain usable, expire, or are forfeited—is governed by our Credit Rules.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED. WE SPECIFICALLY DISCLAIM ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT THE AI OUTPUTS WILL BE ACCURATE OR MEET YOUR EXPECTATIONS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PEXO, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA OR CONTENT, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED ONE HUNDRED US DOLLARS (USD $100).

13. Indemnification

You agree to indemnify and hold us harmless from any claims arising from your use of the Service, your User Content, or your breach of these Terms.

14. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of Singapore. Any dispute shall be finally resolved by binding arbitration in Singapore under the rules of the Singapore International Arbitration Centre (SIAC), conducted in English by a single arbitrator.

15. Changes to Terms

We may modify the Terms from time to time in which case we will update the "Last Updated" date at the top of the Terms. We will use reasonable efforts to attempt to notify you of any changes to these Terms that materially adversely impact you either via email or an in product notification. Your continued access or use of the Service after the modifications have become effective will be deemed your acceptance of the modified Terms. If you do not agree to the changes, you must stop using our Service. No amendment shall apply to a dispute for which an arbitration has been initiated prior to the change in Terms.
